STUDIO KARALIS – WEBSITE TERMS AND CONDITIONS

1 Introduction
This website is operated by Nicole Krammer t/as Studio Karalis (ABN 41 812 634 879) (we, our or us). These terms and conditions (Terms) govern your use of our website and the access to or purchase of our Services. By using our website, accessing a Guide or booking a Session, you accept these Terms and enter into a binding agreement with us.
Nothing in these terms limit your rights under the Australian Consumer Law.
(a) You may access and/or purchase Free Guides, Paid Guides or Sessions through our website.
(b) You accept these Terms by accessing a Free Guide, purchasing a Paid Guide, or booking a Session.
(c) You must be at least 18 years old to access or purchase any Service.
(d) You may book a Session via our booking platform or by contacting us. Your booking is confirmed once we receive payment. We reserve the right to decline any booking at our discretion.
(e) Sessions are delivered remotely or as otherwise agreed via our booking platform.
(f) You may request to cancel or reschedule a Session by contacting us or via our booking platform. For cancellations or rescheduling:
(1) with more than 24 hours' notice prior to the scheduled Session: you may transfer your booking to another available time; or
(2) with less than 24 hours' notice, or where you are more than 10 minutes late or do not attend: your booking will be forfeited with no refund.
(g) In connection with the Services, you agree that you will:
(1) provide accurate and complete information to us;
(2) comply with our reasonable requests in connection with the delivery of the Services; and
(3) not misrepresent your identity or provide false information when accessing or purchasing any Service.
3 Payments
(a) The price payable for Paid Guides and Sessions (Price) will be set out on our website at checkout or booking page respectively. Payment must be made in full at the time of purchase or booking.
(b) If you do not pay on time, we may stop providing the relevant Services 5 business days after payment was due and recover any reasonable costs we incur as a result of the late payment, including costs of recovery.
(c) We accept the payment methods displayed on our website at the time of purchase. Where we offer payment through third-party providers, your use of those payment methods may be governed by the third-party provider's separate terms and conditions, which you must review and accept directly with them.
4 Australian Consumer Law
(a) Nothing in these Terms attempts to modify or exclude your rights under the Australian Consumer Law (Consumer Law Rights).
(b) As Guides are delivered as digital downloads, we do not offer refunds for change of mind once a Guide has been made available for download.
(c) For Sessions, the cancellation terms in clause 2(f) apply.
5 Liability
Despite anything to the contrary, but subject to your Consumer Law Rights, to the maximum extent permitted by law:
(a) neither party will be liable for indirect, consequential, or special losses or loss of profits, revenue, or business opportunities; and
(b) our total liability under these Terms is limited to the Price paid by you for the relevant Service.
6 Use of Our Website
When using our website, you must not:
(a) share, post, upload or distribute any Guide, report, template or other material obtained through our Services on any website, social media platform, file-sharing service, online forum or by any other means;
(b) use our website for any unlawful purpose, or in a way that infringes any person's rights, including their privacy, or that is defamatory, harassing, threatening, offensive or misleading;
(c) interfere with our website's operation, including by introducing viruses, malware, automated tools such as bots or scrapers, or unsolicited messages; or
(d) use another person's details without authorisation, upload personal information without consent, or assist others in doing any of the above.
7 Intellectual Property
(a) Ownership: All intellectual property (IP) in our website, Services, Guides, content, branding, images and materials (including copyright, trademarks and designs) is and remains owned by us at all times, including any IP created or brought into existence in the course of providing the Services.
(b) Licence to you: Upon purchase of a Paid Guide or download of a Free Guide, we grant you a personal, non-exclusive, non-transferable licence to use the relevant Guide for your own personal, non-commercial purposes only.
(c) You must not, without our prior written consent:
(1) copy, reproduce, distribute, sell, resell, share or otherwise deal in our IP in any form;
(2) use our IP for any commercial purpose or revenue generation;
(3) modify, adapt or create derivative works from our IP;
(4) frame or embed our content in another website; or
(5) remove or alter any copyright notices or proprietary markings.
(d) Any content you provide to us in connection with the Services (including portfolios, CVs or other materials submitted for review) remains your property. You grant us a limited licence to use that content solely for the purpose of delivering the relevant Service to you.
8 Disclaimer
(a) All information contained in our Guides, Sessions, reports and materials is for general informational and educational purposes only. It does not take into account your specific needs, objectives or circumstances, and does not constitute professional architectural, legal, financial or regulatory advice.
(b) While we use reasonable endeavours to ensure the accuracy and completeness of our Guides, Sessions, reports and materials, we make no representation or warranty in relation to them to the maximum extent permitted by law.
(c) Where our Services refer to legislation, regulations, codes or standards, this reflects the position at the time of publication only and we do not warrant that any such references remain current at the time you access them.
9 General
(a) Amendment: We may update these Terms at any time by publishing revised terms on our website. The Terms that apply to your purchase or booking are those in effect when you purchased or booked the relevant Service. We recommend reviewing the current Terms before each purchase.
(b) Complaints and Feedback: We are always looking to improve our services. If you have any feedback or a complaint, please notify us on our contact details set out in these Terms and we will take reasonable steps to address any concerns you have.
(c) Disputes: A party may not commence court proceedings relating to any dispute arising from, or in connection with, these Terms (Dispute) without first meeting a representative of the other party within 14 days of notifying that other party of the Dispute. If the parties cannot resolve the Dispute at that meeting, either party may refer the Dispute to mediation administered by the Australian Disputes Centre.
(d) Events Outside Our Control: We will not be liable for any delay or failure to perform our obligations if such delay or failure is caused or contributed to by an event or circumstance beyond our reasonable control.
(e) Governing Law: Both parties submit to the exclusive jurisdiction of the courts operating in Victoria.
(f) Notices: Any notice given under these Terms must be in writing addressed to us at admin@studiokaralis.com or to you at the details provided when you submitted you purchased or booked the relevant Service.
(g) Privacy: We will comply with all applicable data protection laws, and your personal information will be handled in accordance with our privacy policy (available on our website).
(h) Relationship: These Terms do not create a partnership, joint venture, employment or agency relationship between the parties. Nothing in these Terms creates an ongoing architect-client relationship between you and us.
(i) Subcontracting: We may subcontract any part of the Services without your prior approval. We remain responsible for ensuring any subcontractor performs in accordance with these Terms.
10 Definitions
Free Guides means Guides made available at no cost.
Guides means any Free Guides or Paid Guides.
Paid Guides means Guides made available for a fee.
Services means the Guides, Sessions, and any reports or materials provided by us in connection with them.
